<p><span style="font-family: 'Georgia','serif'"></span><span style="font-family: 'Georgia','serif'"><span>With the announcement this week on Embarcadero&#8217;s signing of a definitive agreement to acquire CodeGear, there is much chatter about the combination of application and database development and how <a href="http://metafrequency.blogspot.com/">sweet the combination </a>of CodeGear and Embarcadero will be (the combined company will be able produce incredible heterogeneous products and features for every app, web, or database developer on the planet that would simply be impractical, impossible, or insane for just about any other company) - however, if you&#8217;re a developer who doesn&#8217;t use or require a database today then "how is all of this news a good thing for me?" Well rest assured it is good. Very good. </span></span></p>
<p><span style="font-family: 'Georgia','serif'"><span></span></span><span style="font-family: 'Georgia','serif'"><span style="font-family: 'Georgia','serif'">For certain, the technical combination of CodeGear and Embarcadero will enable app/database development innovations on a whole new level, but at the core of all of our IDE tools is the application itself. While the majority of applications today are database driven or connected, for many hundreds of thousands of developers - particularly ISVs and MicroISVs building packaged software, a database may either not be required or is just not at the top of your shopping list. More than half of ISV/MicroISV packaged applications include a database but what typically matters most to developers building packaged software is performance, footprint, quality, deployment, and usability. If you are a developer building packaged software you want to be able to maximize the value your customers&#8217; hardware, CPUs, graphics, and OS. You want to build applications that look good, work good, and go fast. You want to be able to leverage hardware and equipment connected to PCs. You are beginning to build applications that are starting to crack the 4GB barrier and your customers have begun to reach critical mass with 64bit machines. You want to exercise both CPU cores that are in most desktops and laptops today, and you want to start designing to leverage the four and eight cores that will soon be commodity. You want language features that will simplify coding and increase resilience without bloating the footprint or forcing you to use a VM. You want to build apps that look like art and work like art - without necessarily being artistically blessed yourself. You want to build applications for a global customer base but you don&#8217;t want to have to sink all your waking hours internationalizing. And many of you want to be able to deploy to the other cool OS desktops on the playground. </span></span></p>
<p><span style="font-family: 'Georgia','serif'"><span style="font-family: 'Georgia','serif'"></span></span><span><span style="font-family: 'Georgia','serif'">And then there is that moment when the databaseless ISV decides it&#8217;s time add data persistence. For many an experienced programmer who happens to be completely inexperienced with databases, you might as well be learning to speak Klingon. That’s when well integrated connectivity, components, tools, and products come to the rescue. You want it to be seamless, incredibly high performance, often embedded into/with your application, and you don&#8217;t want it to get in the way. Oh, and you want to use the database engine/server from the vendor of you or your customers’ choosing.</span></span><span><span><font face="Times New Roman"> </font></span></span></p>

      <content:encoded><![CDATA[<p>Sure, <a href="http://www.codegear.com/about/news/embt">the latest news of Embarcadero Technologies</a> signing an definitive agreement to acquire the <a href="http://www.codegear.com">CodeGear</a> portion of <a href="http://www.borland.com">Borland&#8217;s</a> business is a recent development. However, looking back on my years here at Borland, I have to chuckle a little bit. I remember sitting with other Delphi team members many years ago on more than one occasion waxing poetically about how great it would be to spin out Delphi and the other dev tools products into either a stand-alone company or into the arms of someone who will nurture and cultivate their value. While at the time it was idle chit-chat, who would have thought that this day would actually come?</p>
<p>Throughout the day, yesterday, I got into several IM conversations from former co-workers all asking how I felt about the news. I honestly told them that this is the best outcome for the future of the developer tools products anyone of us here could have imagined. As I was on my way from work last night, I got a phone call on my mobile phone. I was wondering when I would get this call. The voice on the other end said, "Hi Allen, <a href="http://www.removingalldoubt.com">this is Chuck</a>." Yep, I was totally expecting a direct phone call sometime from Chuck. If you&#8217;ve been following any of my posts over the last few years, you know that <a href="http://www.removingalldoubt.com">Chuck Jazdzewski</a> was very instrumental in my getting hired at Borland. Chuck served as my mentor for many years.</p>
<p>Chuck&#8217;s first question was one of concern and wanting to know how I felt about these developments. Thanks, Chuck, that meant a lot. We talked for a while as I was driving. Don&#8217;t worry, I use a bluetooth hands free headset :-). Part of the conversation quickly drifted to our many conversations in the past about how cool it would be to take the dev tools out of Borland. Unfortunately, I arrived at my destination and had to cut the conversation short. I would like to have continued. Chuck agreed that if he had any other questions that he&#8217;d be sure to give me a call.</p>
<p>If there is one thing about my tenure with the Borland developer tools group, it has rarely ever been a dull moment. I doubt that is going to be changing any time soon. Change is something the CodeGear teams have become accustomed to. It&#8217;s great that this change is one of the most positive ones :-).</p>

      <content:encoded><![CDATA[<p>Bien, como todos ya saben, Embarcadero Technologies adquiere a CodeGear. Me gustaría compartir mi emoción con ustedes, ayer fue un día histórico y un marco en el futuro del desarrollo de software.</p>
<p>Embarcadero tiene un conjunto de herramientas para diseño, desarrollo y manejo de base de datos, 99% de ustedes utilizan base de datos en sus aplicaciones, CodeGear trae un conjunto de herramientas para desarrollo (Delphi, C++ Builder, JBuilder, Delphi for PHP, InterBase, BlackFish), así las dos compañías se complementan.<br />

      <content:encoded><![CDATA[<p><a href="http://www.codegear.com/about/news/embt">Needless to say, it&#8217;s been a crazy day</a> here at <a href="http://www.codegear.com">CodeGear</a>. I&#8217;m sure the same can be said of the fine folks at <a href="http://ww.embarcadero.com">Embarcadero</a>. Rather than saying the same things you can read about in <a href="http://cdn.codegear.com">all the various outlets</a> and <a href="http://metafrequency.blogspot.com/2008/05/embarcadero-and-codegear.html">blogs</a>, I figured I&#8217;d give folks my impression of how this is affecting the teams here at CodeGear.</p>
<p>At 9am PDT, we held a company "all-hands" meeting here in Scotts Valley, CA. Since this meeting coincided with Borland&#8217;s earnings announcement, this was not an unusual event. Oh sure, the internal rumors had been flying for months. Folks kept saying that "something is happening." After the usual presentation and outline of the deal, there was an opportunity for a Q&amp;A session with <a href="http://blogs.codegear.com/jimdouglas">Jim Douglas</a>, the CodeGear CEO. Jim was candid and frank. Like anything that is a major change, there is bound to be some level of nervousness. In this case, the employees were far more engaged in the meeting that I&#8217;ve seen in the past. It seemed that there was this collective sigh of relief among the whole crowd. We finally made it!</p>
<p><a href="http://blogs.codegear.com/michaelswindell">Michael Swindell</a> presented information about how this is a great fit for both companies and began outlining a lot of the immediate and long term opportunities. When something fits this well, it&#8217;s easy for people to just "get it." It&#8217;s not a tough thing to "sell." If you&#8217;re a CodeGear customer, I would encourage you to head on over to <a href="http://www.embarcadero.com">Embarcadero&#8217;s</a> site and just browse around and look at what they&#8217;re offering. You should also take a moment to read this <a href="http://metafrequency.blogspot.com/2008/05/embarcadero-and-codegear.html">blog post from Greg Keller</a>.</p>
<p>Throughout most of today, intermixed with doing a little bit of coding, I&#8217;ve also been cruising the newsgroups, blogosphere, and other message boards. So far the overall tone is very positive and upbeat. There are lots of questions and concerns. It&#8217;s only the first day, so I&#8217;m sure as folks have a chance to digest what this all means, the real questions will start flowing. Off the top, right now there are no plans to veer from our current roadmaps or to interrupt any current schedules. As a matter of fact, this was the directive given from the Embarcadero folks to make sure we&#8217;re still on track to deliver what we&#8217;ve committed to.</p>
<p>I also spent some time roaming through the halls here in Scotts Valley.&nbsp; After the 9am meeting, there was a lot of hallway conversations about what this all means. There was no "hand-wringing" and "angst" among the team that I could see. In fact, most folks were already talking about what Embarcadero does, the products they offer, and how they fit with what we&#8217;re doing. Those are exactly the conversations we should be having internally. By the afternoon, most of the team had settled back into their routine and the development engine was back running on all cylinders.</p>
<p>So if you have any questions or comments, feel free to let me know and post through the comment system here. As I already stated above, it is business as usual in terms of products, schedules and features. As we approach the final close of this deal, more and more information will become available. So if I cannot answer your question right away, I hope to be able to do so in the coming weeks.</p>
<p><strong>UPDATE:</strong> It seems that many of you are already hitting Embarcadero&#8217;s site.&nbsp; It appears to be suffering from a mild case of "slashdot effect". This is a good thing. Let&#8217;s make sure they know how engaged, passionate, and committed the CodeGear customers are.</p>

    <description><![CDATA[By now, many of you have probably seen the announcement about Embarcadero and CodeGear. I&#8217;ve received some messages from people outside CodeGear asking me what I think, so I&#8217;ll answer here.

      <content:encoded><![CDATA[<p>By now, many of you have probably seen the <a href="http://www.codegear.com/about/news/embt">announcement about Embarcadero and CodeGear</a>. I&#8217;ve received some messages from people outside CodeGear asking me what I think, so I&#8217;ll answer here. </p>
<p>There were many potential outcomes from this "spin-off" effort. I think <a href="http://www.codegear.com">CodeGear</a> and <a href="http://www.embarcadero.com">Embarcadero Technologies</a> fit <strong>very</strong> well together.&nbsp; Honestly, this outcome is just about the best scenario I could expect. Basically, I didn&#8217;t dare to be this optimistic!</p>
<p>The complementary combination of our products and our companies is extensive, exciting, and promising. The two companies have a very large area of interest and expertise overlap, without having conflicting product offerings. The combination of the two product lines will lead to extremely productive development solutions for both sets of customers.</p>
<p><a href="http://blogs.codegear.com/davidi/2008/05/07/38884/">Others have</a> <a href="http://metafrequency.blogspot.com/2008/05/embarcadero-and-codegear.html">written long posts</a> about this already, so I&#8217;m not going to belabor the same points.</p>
<p>I just wanted to provide a public answer to the questions I was getting from people, and reiterate that I think this is a great move and a great day for CodeGear&#8217;s customers and its employees.</p>
<p>P.S. As you can imagine, I&#8217;m going to be really busy working out the details of integrating our various Internet Services with Embarcadero&#8217;s, so I hope you&#8217;ll understand if I don&#8217;t respond to blog comments immediately.</p>

<p>Done?&#160; Great.&#160; And now, I have to tell you, I am thrilled with this.&#160; Totally thrilled. Seriously.&#160; It is hard for me to conceive of a non-fantasy based outcome for us, the products, and our customers that could have been better.&#160; Merging into Embarcadero Technologies is going to be awesome.&#160; I&#8217;m already thinking up new products, combinations and SKUing that is really, really exciting.&#160; If you haven&#8217;t taken a look at the <a href="http://www.embarcadero.com/products/products.html">Embarcadero product line up</a>, please do. There is some seriously cool stuff there.&#160; All of the products are database-neutral, just like us.&#160; All of them are developer tools.&#160; </p>
<p>The cool part is that the Embarcadero product line is completely complementary to Delphi.&#160; Delphi&#8217;s bread an butter has always been client/server development with rich, powerful Windows interfaces.&#160; Database access has always been a key and valuable part of the product, but we never really ventured over the world of database design and management.&#160; Where Delphi lets off, tools like Rapid SQL and ER Studio start.&#160;&#160;&#160;&#160; </p>
<p>And a word for you guys who don&#8217;t care about databases and don&#8217;t know a SELECT statement from a hole in the wall.&#160; Delphi still is and will continue to be the tool of choice for you.&#160; How could it not be?&#160; We&#8217;ve got some really cool stuff on our roadmap for this year including VCL enhancements, language enhancements like Generics and Anonymous Methods, as well as Unicode development that will continue to make Delphi the best development tool in the world.&#160; If database isn&#8217;t your thing, we still have you covered like we always have.&#160; Not to worry.&#160; It&#8217;s me, remember?&#160; <img src='http://blogs.codegear.com/feeds/wp-includes/images/smilies/icon_wink.gif' alt=';-)' class='wp-smiley' /> </p>

      <content:encoded><![CDATA[<p>As I&#8217;m sure you&#8217;ve seen by now, Borland is selling CodeGear to Embarcadero for $23M in cash. Borland also gets to keep $7M in accounts receivables, so the whole package is about $30M.</p>
<p>We had a very upbeat company meeting today, where a lot of questions were answered, and it was clear that CodeGear&#8217;s leadership is very enthusiastic about this deal. There are a lot of synergies, and not a lot of overlap, and as others have said - once the deal closes (in 30-60 days) we can start doing things that none of us could have done on our own before.</p>
<p>Some  people have said that $30M is a chump change. Cough - I wish I had chump change in that case. <img src='http://blogs.codegear.com/feeds/wp-includes/images/smilies/icon_wink.gif' alt=';)' class='wp-smiley' /> </p>
<p>One perspective you can put things is in relation to market caps. So, simply for the exercise of my brain, I noticed that the market cap of BORL as of the close today was $110M according to Yahoo Finance. Based on that number, the CodeGear deal valued at $30M would put us at about 27% of the total market cap. Not too bad at all if you think about it.</p>
<p>The future is bright - I&#8217;m convinced that all of our products will continue to grow and prosper under the Embarcadero name. Stay tuned for lots of new things over the coming months and years as well.</p>

      <content:encoded><![CDATA[<p>Big news today for CodeGear employees and our community.  Today, May 7, 2008, Borland and <a href="http://www.embarcadero.com/">Embarcadero Technologies</a> announced that Embarcadero Technologies has signed a definitive agreement to purchase CodeGear. Together, Embarcadero and CodeGear are expected to create the world’s largest, independent software provider of development and database tools. <p>Big news indeed, and great news for everyone who cares about application and database development. This is a perfect marriage on so many levels. Imagine what we will do together to help move software and database development to new heights. What a perfect day (what a 23 years for me)! I can&#8217;t wait to get started and help close the deal. I can&#8217;t wait to get online and on the road to introduce CodeGear customers and partners to the Embarcader products and show you what we will do together.</p>
<p>I was in San Francisco yesterday at JavaOne and our Thirsty Bear Brewery JBuilder 2008 Application Factory party.  At the party, Greg Keller (Embarcadero VP of Product Management), Greg Davoll Embarcadero VP of Marketing), and I were quietly whispering over in the corner and dreaming the dreams developers dream, remembering early days of development (several of the Embarcadero executive team members learned programming with Turbo Pascal and Turbo C++, and the whole company is filled with developers), and wondering whether we would be able to wait until this morning&#8217;s 4am announcement (hard to sleep with so much to do and so little time). I&#8217;m reminded of the Dr. Seuss book, "<a href="http://www.amazon.com/Thinks-You-Think-Beginner-Books/dp/0394831292">Oh the Thinks You Can Think!</a>". But first things first, with the definitive agreement signed and the press releases out, now we can really get started!</p>
<p>All of the news, the fun, the excitement, and the sleep deprivation aside, I know that we have to continue to show you what we can do.  We have to continue to communicate and deliver.  We have to continuously prove that we can innovate and grow our products and company.  If you are from Missouri ("the show me state") or from Milan (and everywhere else between), we have to continue to help you be successful so that we can deserve your ongoing and future business.  I appreciate all of the calls, emails, and newsgroup posts I&#8217;ve received.  I know we don&#8217;t have all of the answers to all of the questions (yet).  So we&#8217;ll continue to communicate, to deliver, and to move forward.</p>
